End-User License Agreement

This End-User License Agreement ("EULA") is a legally binding agreement between you and Kamase Labs Inc., operating as Barry ("Barry," "we," "us," or "our"). It governs the license under which we make the Barry software and applications available to you, including our web application at app.hirebarry.com (the "Dashboard"), our AI tools accessed through messaging channels, any software components or integrations we provide, and any updates to them (collectively, the "Software," and together with our related services, the "Service").

By installing, accessing, connecting to, or using the Software, you accept this EULA. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not access or use the Software.

1. Relationship to Our Terms of Service and Privacy Policy

This EULA supplements, and is incorporated into, our Terms of Service and Privacy Policy, which are incorporated here by reference and which continue to apply in full. This EULA governs the license to use the Software; the Terms of Service govern your broader use of the Service (including accounts, billing, acceptable use, and dispute resolution), and the Privacy Policy describes how we handle personal information. If there is a direct conflict between this EULA and the Terms of Service specifically regarding the scope of the license to use the Software, this EULA controls for that purpose only; in all other respects the Terms of Service control. Capitalized terms not defined here have the meaning given in the Terms of Service.

2. License Grant

Subject to your continued compliance with this EULA, the Terms of Service, and timely payment of any applicable fees, Barry grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business purposes of operating your trades or home services business, and only in the manner permitted by the documentation we make available.

This is a license, not a sale. No ownership of the Software is transferred to you. All rights not expressly granted in this EULA are reserved by Barry and its licensors.

3. License Restrictions

Except as expressly permitted by this EULA or applicable law that cannot be waived by contract, you will not, and will not permit anyone else to:

  • Copy, modify, translate, or create derivative works of the Software.
  • Sell, resell, rent, lease, lend, sublicense, distribute, or otherwise make the Software available to any third party, or use it to operate a service bureau or on a time-sharing basis.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Software, except to the limited extent this restriction is prohibited by applicable law.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on or in the Software.
  • Circumvent or attempt to circumvent any access controls, usage limits, security, or authentication mechanisms of the Software.
  • Access the Software through automated means except through our published APIs, or use it to build, train, or improve a competing product or any machine-learning or AI model.
  • Use the Software in any manner that violates applicable law, the Terms of Service (including the Acceptable Use section), or the usage policies of our third-party AI providers or integration partners.

4. Intuit and QuickBooks Integration

The Software offers optional integrations with Intuit products, including QuickBooks Time and QuickBooks Online (the "Intuit Integration"). The Intuit Integration is provided as a convenience and is enabled only if you choose to connect an Intuit account. If you connect an Intuit account, you acknowledge and agree that:

  • Authorization to access your data. You authorize Barry to access, retrieve, and (where the integration and the permissions you grant allow) write data in your connected Intuit account on your behalf, through Intuit's APIs and using the access tokens you grant during authorization. Depending on the products you connect and the scopes you approve, this data may include team member and employee records, timesheets and time-tracking entries, jobs and projects, schedules, customers, invoices, estimates, and related records.
  • Use limited to providing the Service. We access and use your Intuit data solely to provide and support the Service for you and the customer who owns the connected account. We do not use it for advertising, do not sell or rent it, and do not disclose it to anyone other than that customer, except to the subprocessors who help us operate the Service as described in our Privacy Policy. We do not use your Intuit data to train, fine-tune, or improve our own or any third party's AI models.
  • Your relationship with Intuit. Your use of QuickBooks Time, QuickBooks Online, and any other Intuit product is also governed by your separate agreement with Intuit and by Intuit's applicable terms and privacy policy. Barry is an independent third party and is not affiliated with, endorsed by, or sponsored by Intuit Inc. "Intuit," "QuickBooks," "QuickBooks Time," and "QuickBooks Online" are trademarks of Intuit Inc., used here for identification purposes only.
  • Your authority to connect. You represent and warrant that you are authorized to connect each Intuit account you connect and to permit Barry to access and use its data as described above.
  • Disconnection and deletion. You may disconnect the Intuit Integration at any time through the Dashboard or through your Intuit account. On disconnection, we stop accessing your Intuit account and handle previously retrieved data in accordance with the retention and deletion practices described in our Privacy Policy.
  • Security and compliance. We store the credentials and access tokens for your Intuit Integration using industry-standard protections and access controls, and we maintain mechanisms to log and address errors arising in the integration. Our access to and use of Intuit data is conducted in compliance with the applicable Intuit Developer terms and data-handling requirements.

5. Ownership and Intellectual Property

As between you and Barry, Barry and its licensors own all right, title, and interest in and to the Software and the Service, including all software, AI models and systems, algorithms, user interfaces, code, documentation, designs, and branding, together with all improvements, modifications, and derivative works thereof, and all intellectual property rights therein. The Software is licensed, not sold, and is protected by Canadian and international intellectual property laws.

"Barry" and related logos and marks are trademarks of Kamase Labs Inc. You may not use our trademarks without our prior written permission. Except for the limited license expressly granted in this EULA, no rights are granted to you by implication, estoppel, or otherwise.

6. Your Content

The Software processes data, text, images, photos, voice recordings, documents, and other materials you or your team submit ("Your Content"), as well as data accessed through integrations you authorize. You retain ownership of Your Content. The license you grant us in Your Content, and our handling of it, are governed by the "Your Content" section of the Terms of Service and by the Privacy Policy. You are responsible for maintaining your own backup copies of Your Content.

7. Third-Party Services and Components

The Software interoperates with and relies on third-party services, including messaging platforms and carriers, cloud hosting and storage providers, third-party AI providers, the Intuit Integration, and any other integrations you choose to connect. Your use of those third-party services is governed by their own terms and policies, and we are not responsible for their availability, reliability, or practices. The Software may also include third-party or open-source software components, which are licensed to you under their own applicable license terms; in the event of a conflict, those terms govern with respect to the components they cover.

8. Updates, Modifications, and Support

We may provide updates, upgrades, patches, or new versions of the Software from time to time, and we may modify, suspend, or discontinue the Software or any feature of it as described in the Terms of Service. Updates are provided under this EULA unless accompanied by separate terms. We deliver the Software primarily as a hosted service, and any support or service-level commitment applies only if set out in a separate written agreement.

9. Term and Termination

This EULA is effective until terminated. The license granted in Section 2 continues for as long as your right to use the Service continues under the Terms of Service. This EULA and your license terminate automatically if you breach any of its terms, and they terminate when your access to the Service is terminated or your account is closed in accordance with the Terms of Service.

Upon termination, your license ends and you must stop accessing and using the Software. Sections that by their nature should survive termination — including Sections 5 (Ownership and Intellectual Property), 6 (Your Content), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Governing Law), and 13 (General) — survive. Export and deletion of Your Content following termination are handled as described in the Terms of Service and Privacy Policy.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Software will be uninterrupted, error-free, or secure, or that any AI-generated output will be accurate, complete, or suitable for any particular purpose. The disclaimers in the Terms of Service apply equally to the Software.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAMASE LABS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS EULA. Our total aggregate liability for all claims relating to the Software is subject to, and does not exceed, the limitation of liability set out in the Terms of Service. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and nothing in this EULA limits liability that cannot be excluded under applicable law.

12. Governing Law

This EULA is governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under this EULA shall be resolved in the courts located in Vancouver, British Columbia, and you consent to the exclusive jurisdiction of those courts, consistent with the Terms of Service.

13. General

  • Entire Agreement: This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Barry regarding the Software.
  • Severability: If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of this EULA does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under this EULA without our prior written consent. We may assign our rights without restriction.
  • Changes: We may update this EULA from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Software after changes take effect constitutes acceptance of the revised EULA.
