1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Kamase Labs Inc., operating as Barry ("Barry," "we," "us," or "our"). By accessing or using our website at www.hirebarry.com (the "Site"), our web application at app.hirebarry.com (the "Dashboard"), our SMS-based AI project management tools (the "SMS Service"), or any related services (collectively, the "Service"), you agree to be bound by these Terms.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not access or use the Service.

2. Description of Service

Barry is an AI-powered project management platform designed for construction teams. The Service includes:

SMS-based field documentation: Crew members text photos, voice memos, and updates to Barry via SMS. These are automatically processed, GPS-tagged, timestamped, and organized by project.
AI daily reports: Automated daily summaries generated from actual crew activity, delivered to project managers.
Issue tracking: Automatic logging, flagging, and assignment of issues reported via SMS.
Dashboard: A web-based command center where project managers view all sites, updates, and crew activity in one place.
Crew Q&A: Crew members can ask Barry questions via text and receive answers drawn from real-time project data.
Schedule and task management: Task assignment through the Dashboard with delivery to crew via SMS.

We may update, modify, or discontinue features of the Service at any time. We will make reasonable efforts to notify you of material changes.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for use by construction professionals and businesses. By using the Service, you confirm that you meet these requirements.

4. Account Registration

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Keep your account credentials secure and confidential.
Notify us immediately of any unauthorized access to your account.
Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Waitlist

We currently operate a waitlist for early access. By submitting your email address to our waitlist, you consent to receiving communications from Barry about your waitlist status, product updates, and onboarding information. You may unsubscribe from these communications at any time by contacting us at team@hirebarry.com.

6. SMS Service Terms

By using the SMS Service, you acknowledge and agree that:

Standard messaging and data rates from your carrier may apply.
Content sent to Barry via SMS (including photos, voice memos, and text messages) will be processed by our AI systems and stored as part of your project records.
Voice memos sent via SMS will be automatically transcribed. Transcriptions may not be perfectly accurate.
Photos sent via SMS may be tagged with GPS coordinates and other metadata already embedded in the image file.
You are responsible for ensuring that all individuals who interact with the Service via SMS on your behalf are aware of and consent to these Terms.

7. AI-Generated Content

The Service uses artificial intelligence to generate daily reports, process updates, answer questions, and organize project data. You acknowledge that:

AI-generated content (including daily reports, issue summaries, and answers to crew questions) is provided for informational purposes and should be reviewed by qualified personnel before being relied upon for critical decisions.
AI outputs may occasionally contain errors, omissions, or inaccuracies. Barry does not guarantee the completeness or accuracy of AI-generated content.
AI-generated reports and documentation do not constitute professional engineering, architectural, legal, or safety advice.
You remain solely responsible for all project management decisions, safety compliance, and regulatory obligations.

8. Your Content

"Your Content" means any data, text, images, photos, voice recordings, documents, or other materials you or your crew submit through the Service. You retain ownership of Your Content. By submitting Your Content to the Service, you grant us a limited, non-exclusive, worldwide license to use, process, store, and display Your Content solely for the purpose of providing and improving the Service.

You represent and warrant that you have the right to submit Your Content and that it does not violate any third party's rights or any applicable law. You are responsible for the accuracy of project data entered into the Service.

9. Acceptable Use

You agree not to use the Service to:

Violate any applicable federal, provincial, state, or local law or regulation.
Submit false, misleading, or fraudulent information.
Interfere with or disrupt the Service or its infrastructure.
Attempt to gain unauthorized access to any part of the Service.
Use the Service for any purpose other than construction project management.
Reverse engineer, decompile, or attempt to extract the source code of the Service.
Use automated means to access the Service except through our published APIs.

10. Pricing and Payment

Pricing for the Service is displayed on our website and may change from time to time. We will provide at least 30 days' notice before any price increases take effect for existing subscribers. All fees are quoted in US dollars unless otherwise stated.

We offer a 14-day free trial for new accounts. No credit card is required to start a trial. If you choose to continue using the Service after your trial period, you agree to pay the applicable subscription fees. Failure to pay may result in suspension or termination of your account.

11. Cancellation and Termination

You may cancel your subscription at any time through the Dashboard or by contacting us at team@hirebarry.com. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial months.

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, or if we reasonably determine that your use of the Service poses a risk to us or other users. We will make reasonable efforts to provide notice before termination except where immediate action is required.

Upon termination, you may request an export of Your Content for up to 30 days. After that period, we may delete Your Content in accordance with our data retention practices.

12. Intellectual Property

The Service, including its design, features, AI models, code, documentation, and branding, is owned by Kamase Labs Inc. and is protected by Canadian and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

"Barry" and related logos and marks are trademarks of Kamase Labs Inc. You may not use our trademarks without prior written permission.

13. Third-Party Services

The Service integrates with or relies on third-party services, including SMS carriers, cloud hosting providers, and analytics tools. We are not responsible for the availability, reliability, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

The Service will be uninterrupted, error-free, or secure.
AI-generated content will be accurate, complete, or suitable for any particular purpose.
The Service will meet your specific requirements.
Defects will be corrected in any particular timeframe.

Construction is inherently complex and high-stakes. The Service is a tool to assist with project management. It is not a substitute for qualified professional judgment, on-site inspections, or compliance with building codes and safety regulations.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAMASE LABS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Kamase Labs Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third party's rights.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Vancouver, British Columbia, and you consent to the exclusive jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

19. General

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Barry regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
Force Majeure: We shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, or internet service disruptions.
